<h2>No-person GmbH: The GmbH without shareholders</h2>
<p>The Kein-Personen-GmbH &#8211; or Kein-Mann-GmbH or Keinmann-GmbH &#8211; is a curiosity among German forms of corporate law, because it represents a GmbH that has no shareholders. In the Austrian version of the GmbHG, the acquisition as well as the pledge of own shares by the company is expressly prohibited in section 81 and declared ineffective. In Germany, on the other hand, there is no such restriction, which is why a GmbH there is granted the right, as a legal entity, to acquire its own shares without restriction. Thus, the acquisition of 100 percent of the business shares is also possible.</p>
<h3>Causes for a no-man GmbH: inheritance, donation, termination &#038; Co.</h3>
<p>But how can there be a GmbH without shareholders? There may be different reasons for all GmbH shares to be owned by the GmbH itself: The GmbH can be registered as heir to the business shares and thus actually be left without a single shareholder in the event of inheritance &#8211; in the case of a one-person company or two-person GmbH, such a scenario is easy to imagine. Alternatively, the GmbH can also be given business shares by its shareholders or no shareholders remain in the GmbH on the basis of a caducation &#8211; i.e. the forced exclusion of shareholders who are not willing or able to pay and who have defaulted on their capital contribution in accordance with the articles of association.</p>
<p>Further reasons are, for example, the sale of shares to the GmbH; the abandonment &#8211; i.e. the relinquishment &#8211; of shares by the shareholder(s) in favour of a consideration, usually the release or discharge from existing (payment) obligations; or also the withdrawal of shareholders through ordinary termination.</p>

<h2>One-person limited liability company: corporation for 1 person</h2>
<p>The formation of a limited liability company requires at least one person. One-person companies tend to be the exception, but from a purely legal point of view, mono-corporate one-person companies are certainly permissible in the case of the GmbH as well as the Aktiengesellschaft (AG). In the case of a limited liability company, the term &#8220;one-person GmbH&#8221; &#8211; alternatively also &#8220;one-man GmbH&#8221; or &#8220;Einmann-GmbH&#8221; &#8211; is often used.</p>

<h3>Emergence of solo founders &#8211; self-decision, exit &#038; e. K.</h3>
<p>The one-person GmbH can come into being in three ways: Either you consciously decide to become a solo founder, or you were originally in a two-person GmbH or multi-person GmbH and have been reduced to a one-person company by the withdrawal of the other shareholder(s). Alternatively, you are a registered trader and have the necessary share capital to change your legal form to a one-person GmbH.</p>
<p>Tip: If you basically do not want to manage your GmbH alone and divide the capital burden among several heads, but still want to decide alone on the structure and wording of the articles of association, you can form a one-man GmbH in the first step and take on any number of additional shareholders in the second step. The decisions you make in the pre-incorporation phase then automatically apply to the new shareholders as well.</p>
<h4>Special features of the one-person GmbH: § 181 BGB and § 3 GmbHG</h4>
<p>With a one-man limited liability company, you are automatically the sole shareholder and take the position of managing director. You also participate in the shareholders&#8217; meetings in a so-called personal union. Apart from that, the same rules and laws apply to you as to companies with several shareholders. This also means that you must form all the corporate bodies prescribed for a GmbH &#8211; for example, the supervisory board. For this reason, it is particularly important that as sole managing director of a single-member company, you exempt yourself from the single standard &#8220;insichgeschäft&#8221; (section 181, see above) laid down in the German Civil Code.</p>
<p>In the case of a one-person GmbH, the shareholders&#8217; agreement does not have to be notarised prior to registration in the commercial register and is therefore usually quite short, taking into account the minimum content required by the Limited Liability Companies Act (GmbHG). However, you need a non-receivable unilateral declaration of intent to complete your registration, and this in turn must be certified by a notary.</p>
<p>Excerpt from the law &#8211; § 3 GmbHG:</p>
<p>(1) The memorandum and articles of association shall contain:</p>
<ol>
<li>The company name and registered office,</li>
<li>The object of the company,</li>
<li>The amount of the share capital,</li>
<li>The number and nominal amounts of the shares that each shareholder takes over in return for a contribution to the share capital (nominal contribution).</li>
</ol>
<p>(2) If the company is to be limited for a certain period of time or if other obligations towards the company are to be imposed on the shareholders in addition to the payment of capital contributions, these provisions must also be included in the company statutes.</p>

<p>In a divorce settlement agreement, all things concerning the marriage and the divorce can be regulated. In general, this agreement regulates how joint assets, joint children or similar things will be dealt with after the divorce. It is attempted to clarify all points that are normally settled during the divorce in advance, in order to make the divorce as simple as possible. To a divorce succession agreement belong in detail things like the maintenance. Here, both the separation maintenance for the period from the separation to the divorce and the post-marital spousal maintenance for the period after the divorce can be regulated.</p>
<p>The divorce settlement agreement also regulates the custody of joint children, their maintenance and, if necessary, the right of access for the non-caring parent. In addition, the divorce settlement agreement will specify how joint assets, such as the joint home or household effects, are to be dealt with. A notarized divorce settlement agreement is therefore the cornerstone for a quick and amicable divorce.</p>
<p>Alternatively, the divorce settlement agreement can be recorded orally by the court at a hearing. This alternative is also legally binding and guarantees its validity in court. In case of doubt, both documents can be used for compulsory enforcement against the spouse, e.g. to collect spousal maintenance.</p>

<h2>The pros and cons &#8211; a divorce by agreement</h2>
<p>The advantages of a divorce settlement agreement are obvious. The law gives spouses a great deal of leeway in these agreements to settle all issues related to the divorce amicably among themselves. In this way, it is possible to divide the assets between them as fairly as possible, to determine the maintenance claim or even the custody itself and thus to pave the way for a tension-free and as factual as possible dealings with each other. This is especially important for joint children, who often find themselves in a conflict of loyalties during contentious divorces, which often leads to tension in the family. The advantage of an amicable divorce is also the low court and attorney fees. Contentious divorces require more time, more lawyers, and therefore more costs. To avoid this and avoid unpleasant disputes with your spouse, a divorce settlement agreement can make divorce by mutual consent simple and straightforward.</p>
<p>There are hardly any disadvantages with a divorce settlement agreement. However, one should always bear in mind that disputes and disagreements can arise even when drawing up a divorce settlement agreement. <p>In order for a surname change to take place after a divorce, the marriage must have been legally divorced. A final divorce is when there is no longer any right of appeal against the divorce decree. To ensure this, either both spouses must waive appeals at the divorce hearing or neither spouse must appeal the divorce decree through an attorney within one month. On the divorce decree, an affixed notation of res judicata is used by the court to document that the divorce is final. In order to obtain this, the divorce decree served after the divorce must be sent to the court again with the request for the note of res judicata. Only then is the document to be considered a legally valid divorce and usable for the name change.</p>
